Leading the team for Twelve Points Business Advisors is Laura Moruzzi. Laura comes to Twelve Points with extensive corporate finance experience in executing Merger & Acquisition transactions and other financial strategic initiatives. She has executed numerous end-to-end Merger & Acquisition transactions involving deal sourcing, preparing confidential memoranda, identifying and contacting potential acquirers, negotiating deal terms, and collaborating with legal, accounting and other advisors to successfully execute transactions.

Ms. Moruzzi has extensive profes­sional experience working on a variety of corporate finance transactions for both public and pri­vate clients, including middle-market mergers and acquisitions, capital raising, hostile takeover defenses, fairness opinions, and business and intellectual property valuation assignments.  She has expertise in certain industry verticals such as business services, consumer products and services, food manufacturing and distribution, industrial products and services, medical devices, and software and technology.  Ms. Moruzzi has advised boards of directors and special committees on corporate strategy decisions and has served as a non-voting board participant for both public and privately-held companies.  She has completed numerous merger and acquisition transactions ranging in size from $5 million to $130 million; and has completed several debt and equity capital raising transactions ranging in size from $2 million to $40 million.

Valuation Experience:

Business Enterprise Valuation – total and fractional interests of both publicly-traded securities and private companies across a broad range of industries.

Intangible Asset Valuations – software, technology know-how, patents, trademarks, brand names, licenses, contracts, customer lists, and non-competition agreements.

FASB ASC 805, 350, and 360 (formerly SFAS 141, FAS 142, and FAS 144) – purchase price allocation and testing for the potential impairment of goodwill.

IRC Section 409A – nonqualified deferred compensation.

Litigation and Arbitration – security valuation consulting and litigation support.

Education and Certifications:

B.S., Finance and Quantitative Methods, Babson College.

Completed various valuation related CPE courses and is a candidate of the American Society of Appraisers organization.

Ms. Moruzzi holds the following FINRA registrations: Series 7, 63, and 79.
